MASTER SUBSCRIPTION AGREEMENT

This Master Subscription Agreement (this “Agreement”) governs the acquisition and use of subscription services (“Subscription Services”) provided by Utility Ranger LLC, a Florida limited liability company (“Utility Ranger”). By accessing or using the Subscription Services, including services provided through Utility Ranger’s website, you (“Customer”) agree to the terms of this Agreement. If you are accessing or using the Subscription Services on behalf of a corporation or other legal entity, you represent that you have the authority to bind that entity to this Agreement.

This Agreement is effective as of the date you first access or use the Subscription Services or the effective date of any executed Order Form (defined below) that references this Agreement (the “Effective Date”). Utility Ranger and Customer are each a “Party,” and collectively, the “Parties.”

1. DEFINITIONS

1.1 Affiliate: Any entity that controls, is controlled by, or is under common control with a Party.

1.2 Customer Data: Any data submitted, uploaded, processed, or provided by the Customer or its Users, including property and unit information, in connection with the Subscription Services.

1.3 Go Live Date: The date on which the Customer’s first property and associated unit data are successfully added to the Utility Ranger platform and activated for operational use.

1.4 Properties and Units: The real estate properties and individual units (e.g., apartments, dwellings, or commercial spaces) managed by the Customer and added to the Utility Ranger platform for the purpose of billing and utilizing the Subscription Services.

1.5 Subscription Services: The software-as-a-service (SaaS) offering provided by Utility Ranger, including any associated tools, applications, or services.

1.6 Term: The duration of this Agreement, as specified in Section 4.

1.7 Users: Authorized individuals who access or use the Subscription Services on behalf of Customer.

2. SUBSCRIPTION SERVICES

2.1 Provision of Services: Utility Ranger will provide the Subscription Services as soon as the Customer adds Properties and associated Units to the platform, as governed by this Agreement.

2.2 Adding Properties and Units: Customers subscribe to Subscription Services by uploading or integrating their Properties and Units into the Utility Ranger platform. Subscription fees are calculated based on the number of Units or Properties added and the applicable billing terms.

2.3 Use Restrictions: Customers may use the Subscription Services only for managing the Properties and Units they have added to the Utility Ranger platform. Customer shall not:

Sublicense, resell, or distribute the Subscription Services;Modify or create derivative works from the Subscription Services;Reverse engineer the Subscription Services; orUse the Subscription Services to compete with Utility Ranger.

2.4 Support Services: Utility Ranger will provide support services in accordance with its support policies as outlined at Utility Ranger Terms .

2.5 Privacy Policy: Use of the Subscription Services is subject to Utility Ranger’s privacy policy, available at Utility Ranger Privacy Policy.

3. PAYMENTS AND SUBSCRIPTION BILLING

3.1 Subscription Charges: Subscription fees are automatically deducted monthly based on the Customer’s active Units on the platform and selected subscription plan.

3.2 Payment Schedule: Payments are deducted on the same calendar day of each month corresponding to the date of initial payment after a 60-day free trial period.

3.3 No Invoicing: Utility Ranger does not issue invoices. Subscription fees are automatically processed based on the number of active Units in the platform at the time of payment.

3.4 Changes to Active Units: Subscription fees adjust automatically based on changes to active Units, effective in the next billing cycle.

3.5 Failed Payments: If a payment fails, Utility Ranger will notify the Customer via email. The Customer must resolve the payment issue within 10 calendar days to avoid suspension. A $25 reactivation fee may apply.

3.6 Cancellation Policy: Customers may cancel at any time through the Utility Ranger platform. Partial monthly fees are non-refundable, and cancellation takes effect at the end of the current billing cycle.

4. TERM AND TERMINATION

4.1 Term: This Agreement remains in effect on a month-to-month basis as long as there are active Units on the platform. Customers incur charges based on their selected plan type multiplied by the number of active Units, regardless of whether tenants receive a bill. Charges begin 60 days from the Customer’s signup date when the account is activated and a payment method is added for the subscription.

4.2 Termination for Cause: Either Party may terminate this Agreement for material breach if the other Party fails to cure such breach within 30 days of notice.

4.3 Effect of Termination: Upon termination, Customer must cease using the Subscription Services and delete any associated materials. Termination does not relieve Customer of outstanding payment obligations.

5. BILLING RESPONSIBILITY AND PAYMENT PROCESSING

5.1 Billing Responsibility: Customers are solely responsible for uploading accurate billing data, ensuring compliance with all laws, and managing tenant utility allocations. Utility Ranger does not issue or collect bills and assumes no liability for any billing practices.

5.2 Tenant Notification & Lease Disclosures: Customers must ensure tenants receive proper disclosures in their leases or addendums regarding:

Utility billing methods (e.g., RUBS). Fees or administrative costs. Dispute resolution processes.Compliance with local utility billing laws.

5.3 Payment Processing: All payments processed via the Utility Ranger platform are handled through Payload. Utility Ranger does not directly process any payments. Customers must adhere to Payload’s Processing Agreement .

6. TENANT DISPUTES & CHARGEBACKS

6.1 Dispute Resolution: Any tenant disputes or chargebacks are subject to Payload’s terms and must be resolved through their designated process. Utility Ranger does not mediate or handle tenant disputes.

6.2 Chargebacks & Refunds: Refunds are available through the Utility Ranger platform, but all chargebacks are processed per Payload’s rules. Customers should review Payload’s Terms for details. https://payload.com/processing-agreement

7. LIMITATION OF LIABILITY

7.1 Disclaimer of Warranties: Subscription Services are provided “as is” without any express, implied, or statutory warranties.

7.2 Liability Cap: Utility Ranger’s total liability will not exceed fees paid by Customer in the 12 months preceding the claim. Utility Ranger is not liable for indirect, incidental, or consequential damages.

8. GENERAL PROVISIONS

8.1 Governing Law: This Agreement is governed by the laws of Florida. Disputes shall be resolved in Broward County, Florida courts.

8.2 Assignment: Customer may not assign this Agreement without Utility Ranger’s prior written consent.

8.3 Amendments: This Agreement may only be amended in writing signed by both Parties.

8.4 Entire Agreement: This Agreement and any related Order Forms constitute the entire agreement between the Parties, superseding prior agreements.

9. ACCEPTANCE

By accessing or using the Subscription Services, you agree to the terms of this Agreement. If you do not agree, you must not use the Subscription Services.
